Skilled Trade Advisors was founded because the principals believed that the lower and middle market companies were far too often under-served. Our typical client does not have the scale to attract investment banks and Wall Street firms, a reality which creates a clear need for companies and their shareholders to have a viable alternative, one that can leverage a wealth of industry and transactional experience. Our clients are our only priority. We align our interest with those of our clients to create and grow long-term relationships. During our respective careers, we have completed and over 45 transactions with an aggregate transaction value of more than $255 million dollars.

Our approach to a transaction is built around the personal involvement of the partners in every aspect of the process from start to close. Our expertise in the trades enables us to actively interface on a regular basis with a large universe of potential acquirers and investors. Believing that honesty and communication throughout the advisory process is paramount, we will not accept an assignment unless we have a high degree of confidence that the market will respond favorably to an asset.

We take a success-based approach to engagements and does not require large retainers to secure our services. We are confident in our ability to execute transactions and in that way earn our fees.

The Selling Process

 Valuation

We review the recent performance of the company and analyze the relative strengths and opportunities as it relates to supporting future growth.  We take the lead with determining the true profitability of the company with a detailed EBITDA analysis from which the transaction value is based.  Our professionals will provide honest guidance with respect to valuation expectations, and if they are incongruent with our clients expectations, we will provide feedback as to what they can do to realize their liquidity goals.  

Buyer Analysis

Who are the right buyers for your company?  Of course maximizing transaction value is paramount but strategic, financial and individual investors all operate differently which can impact your employees and the legacy of the company.  What are your goals post transaction? Are you interested in exiting immediately or prefer to remain with the company?  Is it critical that you retain an equity ownership in the business?  Would you prefer to partner with a large consolidator or a smaller organization?  All of your feedback shapes who we actively approach in the market.

Targeted Marketing

We will prepare a Confidential Marketing Memorandum that provides a comprehensive summation of your business illustrating recent performance, company strengths and growth opportunities.  We will leverage our industry contacts, curated databases, and industry specific engines to ensure that qualified buyers who have both the financial and administrative capabilities to complete a transaction are aware of the opportunity. 

Due Diligence

Due diligence can be a colossal distraction for any business owner and their employees and we ensure you are organized to face the challenge.  Given our experience acquiring companies we can effectively anticipate what the points of emphasis will be from the acquiring party and prepare accordingly.  

Transaction Closing

It is inevitable, there will always be a surprise during the diligence process wether it relates to verification of EBITDA, roadblocks regarding legal verbiage or unforeseen challenges with your business that arise.  We work with all parties to shepherd the process forward, resolve disconnects, and help guide the transaction to execution and a timely closing.
